1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Budgly ("Company," "we," "us," or "our") governing your access to and use of the Budgly website, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable law
• You will comply with these Terms and all applicable laws and regulations

3. Description of Service

Budgly is a personal finance management application that allows users to:

• Track income, expenses, bills, savings, and debt
• Create and manage monthly budgets
• Monitor subscriptions and recurring payments
• Collaborate with household members on shared budgets
• Export financial data in various formats
• Access historical budget data and analytics

The Service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password
• Not share your account credentials with any third party
• Notify us immediately of any unauthorized access or security breach
• Log out of your account at the end of each session on shared devices

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time through the Settings menu or by contacting support.

5. Subscription and Payments

5.1 Free and Paid Plans

Budgly offers both free and paid subscription plans. The free plan provides basic budgeting features, while paid plans ("Pro") offer additional features such as unlimited budgets, historical data access, collaboration features, and advanced exports.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable subscription fees.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through the Settings menu or Stripe Customer Portal.

5.4 Refunds

We offer refunds within 7 days of initial purchase if you are not satisfied with the Service. To request a refund, contact support@budgly.io. Refunds are not available for renewal charges or after the 7-day period.

6. User Content and Data

6.1 Ownership

You retain all ownership rights to the data and content you input into the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you.

6.2 Data Portability

You may export your User Content at any time using the export features available in the Service. We support export in CSV and JSON formats.

6.3 Data Retention

If you delete your account, your User Content will be retained for 30 days to allow for account recovery. After this period, your data will be permanently deleted. You may request immediate deletion by contacting support.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, harvest, or collect data from the Service without authorization
• Use the Service for any fraudulent or illegal purpose
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with others or allow unauthorized access

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Budgly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Service.

9. Third-Party Services

The Service may integrate with or contain links to third-party services, including:

• Firebase (Google): Authentication and data storage
• Stripe: Payment processing

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of information provided

Budgly is a budgeting tool and does not provide financial, investment, tax, or legal advice. You should consult qualified professionals for such advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDGLY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Financial decisions made based on information in the Service
• Interruption or loss of use of the Service
• Unauthorized access to or alteration of your data

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or £100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Budgly and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration, unless you are entitled to bring claims in small claims court.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also send you an email notification. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Budgly regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
